# Terms of Use **Status:** Draft for legal review — not final legal advice. **Version:** 2026-10-05 **Effective date:** 5 October 2026 These Terms of Use (“Terms”) govern access to and use of Dunkama’s software-as-a-service platform for contract profitability and financial operations (the “Service”), operated by Dunkama (“Dunkama”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not create an account or use the Service. ## 1. The Service Dunkama provides tools to help organizations track contracts, costs, cash, and related financial information. Features may change over time. We do not guarantee uninterrupted or error-free operation. The Service is not legal, tax, accounting, or investment advice. You remain responsible for decisions made using information from the Service. ## 2. Accounts and eligibility You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized access. You must be able to form a binding contract under applicable law. If you use Dunkama on behalf of an organization, you represent that you have authority to bind that organization. ## 3. Subscription and payments Paid features require an active subscription processed by our payment provider (currently Stripe). Fees, billing cycles, taxes, and cancellation rules will be presented at checkout and in your account. Failure to pay may result in suspension or read-only access as described in the product. ## 4. Acceptable use You may not: misuse the Service; attempt unauthorized access; interfere with security or availability; upload unlawful content; or use the Service to violate others’ rights. We may suspend or terminate accounts that violate these Terms. ## 5. Customer data You retain ownership of data you submit (“Customer Data”). You grant Dunkama a limited license to host, process, transmit, and display Customer Data as needed to provide and improve the Service, including through subprocessors described in the Privacy Policy. You are responsible for the lawfulness of Customer Data you upload and for obtaining any required notices or consents from individuals whose data you process in the Service. ## 6. Privacy Our Privacy Policy explains how we process personal data. By accepting these Terms you also acknowledge the Privacy Policy presented at registration. ## 7. Intellectual property Dunkama and its licensors own the Service, software, branding, and related IP. These Terms do not transfer ownership to you other than the limited right to use the Service during your subscription. ## 8. Disclaimers TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ## 9. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUNKAMA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO DUNKAMA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted. ## 10. Termination You may stop using the Service and cancel according to billing settings. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the Service. Provisions that by nature should survive will survive termination. ## 11. Changes We may update these Terms. Material changes will be published with a new version identifier. Where legally required, we may ask you to accept the new version before continued use. The version you accepted is recorded with your account. ## 12. Governing law **[Lawyer decision required]** Governing law, venue, consumer-protection interplay (Brazilian CDC / LGPD where applicable), and language of interpretation must be confirmed by qualified counsel before production launch.
